Sout provides restaurants with an AI-powered phone agent that answers inbound calls, takes customer orders, and routes them to the restaurant's point-of-sale system or kitchen. The Service operates by integrating with your existing phone number via call forwarding — no new hardware is required.

4. SMS Messaging Program

Sout operates an SMS order notification program on behalf of restaurant partners. The following terms apply:

SMS consent is not a condition of completing an order. Customers who decline SMS opt-in will still receive full service.

SMS opt-in data and consent records will not be shared with, sold to, or transferred to any third party or affiliate for marketing or promotional purposes.

9. Call Recording and Compliance

The Sout platform processes voice calls in real time. Depending on your state or province, laws may require you to notify callers that their call is being processed or recorded by an automated system. You are solely responsible for ensuring your use of Sout complies with all applicable wiretapping, recording consent, and consumer notification laws in your jurisdiction.

Sout provides the technical capability — compliance with local notification requirements is your responsibility as the restaurant operator.

The Service relies on third-party providers including Twilio (call infrastructure and SMS), Deepgram (speech recognition), Anthropic (AI), and various POS systems. Your use of these integrations is also subject to those providers' own terms of service. Sout is not responsible for outages, errors, or changes made by third-party providers.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted service. We do not warrant that the AI agent will be error-free or that all orders will be captured with 100% accuracy.

You agree to indemnify, defend, and hold harmless Sout and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your failure to comply with applicable laws including call recording and notification requirements.

We reserve the right to suspend or terminate your account if:

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Virginia, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Virginia.
