Terms of Service

1. About Sout
Sout provides restaurants with an AI-powered phone agent that answers inbound calls, takes customer orders, and routes them to the restaurant's point-of-sale system or kitchen. The Service operates by integrating with your existing phone number via call forwarding — no new hardware is required.
2. Eligibility and Account Registration
To use Sout, you must:
- Be a legally operating food service business (restaurant, cafe, catering company, food truck, or similar).
- Provide accurate and complete information during registration, including your restaurant name, contact details, and phone number.
- Be authorized to enter into a binding agreement on behalf of your business.
- Be located in the United States or Canada.
You are responsible for keeping your account credentials secure. Notify us immediately at support@soutco.com if you suspect unauthorized access to your account.
3. The Service
What Sout does
- Answers inbound calls forwarded to your Sout number using an AI voice agent.
- Takes customer orders conversationally, including handling menu items, modifiers, and special requests.
- Routes completed orders to your connected POS system (Toast, Clover, Square, or local queue) or kitchen display.
- Sends SMS order confirmations and status updates to customers who have explicitly opted in during a call.
- Provides a dashboard for managing your menu, settings, operating hours, and viewing order history.
What Sout does not guarantee
- 100% accuracy of every order in all circumstances — the AI agent performs with high accuracy but is not infallible.
- Uninterrupted service — we aim for high availability but cannot guarantee zero downtime.
- POS integration success in all cases — integrations depend on the availability and APIs of third-party POS providers.
You remain responsible for the final accuracy of all orders fulfilled by your restaurant. We strongly recommend reviewing orders in your POS or kitchen display, especially for complex or high-value orders.
4. SMS Messaging Program
Sout operates an SMS order notification program on behalf of restaurant partners. The following terms apply:
- Program name: Sout Order Notifications
- Message types: Order confirmations, order updates, and order cancellations sent to customers who have explicitly opted in.
- Opt-in method: Verbal consent obtained during a phone call. Customers are asked by the AI agent and must affirmatively agree before any SMS is sent.
- Message frequency: Varies based on order activity. Customers typically receive one to three messages per order.
- Message and data rates may apply.
- Customers may opt out at any time by replying STOP to any message. A confirmation will be sent and no further messages will follow.
- Customers may request help by replying HELP or contacting support@soutco.com.
- Carriers are not liable for any delayed or undelivered messages.
SMS consent is not a condition of completing an order. Customers who decline SMS opt-in will still receive full service.
SMS opt-in data and consent records will not be shared with, sold to, or transferred to any third party or affiliate for marketing or promotional purposes.
5. Setup and Onboarding
Upon subscribing, you agree to:
- Provide your current menu including item names, prices, modifiers, and any relevant notes.
- Forward your restaurant phone number to the Sout number we provide.
- Keep your menu and hours up to date in the Sout dashboard so the AI agent reflects accurate information to customers.
- Notify Sout of any major menu changes (seasonal updates, new items) so we can ensure the AI is trained accordingly.
6. Subscription and Billing
Plans
- Monthly plan: $299 per month, billed monthly. Cancel anytime with no penalty.
- Annual plan: $3,200 per year, billed upfront. This is a 12-month commitment. No refunds for early cancellation of annual plans.
Billing terms
- Subscriptions renew automatically unless cancelled before the renewal date.
- All fees are in US dollars and are non-refundable except as required by applicable law.
- If payment fails, we will attempt to retry the charge. If payment remains outstanding after 7 days, your service may be suspended until payment is resolved.
- We reserve the right to update pricing with 30 days' notice to existing subscribers.
7. Cancellation
- Monthly subscribers may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days.
- Annual subscribers may cancel, but no refund will be issued for the remaining term. Service continues until the end of the paid annual period.

8. Your Responsibilities
As a Sout restaurant partner, you agree to:
- Maintain accurate menu and pricing information in your Sout dashboard at all times.
- Comply with all applicable laws including food safety regulations, consumer protection laws, and telemarketing or telephone recording laws in your jurisdiction.
- Inform your customers that phone calls may be handled by an AI agent, as required by applicable law (including but not limited to state wiretapping and call recording laws).
- Ensure that SMS consent is collected lawfully and not used for any purpose beyond order notifications without additional, specific consent from the customer.
- Not use the Service to engage in fraudulent, deceptive, or unlawful conduct.
- Not attempt to reverse-engineer, scrape, or interfere with the Sout platform or its underlying infrastructure.
- Keep your account login credentials confidential.
9. Call Recording and Compliance
The Sout platform processes voice calls in real time. Depending on your state or province, laws may require you to notify callers that their call is being processed or recorded by an automated system. You are solely responsible for ensuring your use of Sout complies with all applicable wiretapping, recording consent, and consumer notification laws in your jurisdiction.
Sout provides the technical capability — compliance with local notification requirements is your responsibility as the restaurant operator.
10. Intellectual Property
- Sout retains all rights to the platform, software, AI models, and underlying technology.
- You retain ownership of your menu data, restaurant settings, and order history.
- You grant Sout a limited license to use your menu and restaurant information solely to provide the Service.
- Aggregated, anonymized data derived from platform usage may be used by Sout to improve the Service.
11. Third-Party Integrations
The Service relies on third-party providers including Twilio (call infrastructure and SMS), Deepgram (speech recognition), Anthropic (AI), and various POS systems. Your use of these integrations is also subject to those providers' own terms of service. Sout is not responsible for outages, errors, or changes made by third-party providers.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Sout is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost orders, or reputational harm.
- Our total liability to you for any claim arising under these Terms shall not exceed the fees you paid to Sout in the three months preceding the claim.
- We are not liable for losses caused by third-party service outages (Twilio, Deepgram, POS providers, etc.).
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted service. We do not warrant that the AI agent will be error-free or that all orders will be captured with 100% accuracy.
14. Indemnification
You agree to indemnify, defend, and hold harmless Sout and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your failure to comply with applicable laws including call recording and notification requirements.
15. Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms.
- Your account is used for fraudulent or unlawful purposes.
- You fail to make payment after the grace period.
Upon termination, your access to the Service will cease. You may request a copy of your order data within 30 days of termination, after which it may be deleted.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the State of Virginia, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Virginia.
